This limitation does not apply to claims arising from gross negligence, willful misconduct, or attorney professional responsibility obligations applicable to Bryce Fick under the California Rules of Professional Conduct.

This indemnification obligation does not apply to claims arising from Vera Lucerna LLC’s own gross negligence or willful misconduct, or from any attorney professional responsibility obligations applicable to Bryce Fick.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Forum Selection. Any dispute arising from or relating to these Terms or your use of this Site shall be resolved exclusively in one of the following forums:

  • The United States District Court for the Eastern District of California, or
  • The Superior Court of California, County of Placer

You hereby consent to the personal jurisdiction and venue of these courts and waive any objection to the laying of venue in these courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.

15. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vera Lucerna LLC regarding your use of this Site and supersede all prior and contemporaneous agreements and understandings.
